The firm excels at representing VC firms, individual, sophisticated angels, and strategic investors in equity investment and loan transactions at all company stages, from small, early stage investments to larger, later stage investments.
Although the firm primarily focuses on investor-side representation, the firm also may advise select clients on Securities and Exchange Commission (SEC) reporting and compliance, governance, and general corporate matters, as well as technology licensing and commercial contract transactions.
Scatena Legal provides services in a traditional outside counsel role, and also has the capability to act as a “virtual in-house” counsel for clients that do not have, or need to supplement, internal corporate/securities counsel resources. When acting as “virtual in-house” counsel, Scatena Legal invests in developing a deep understanding of the client’s overall business and builds a close relationship with the management team. We handle some legal matters directly and assist in coordinating and managing other outside legal resources when appropriate.
Scatena Legal is adept at managing the efforts of large or small teams of company employees and other legal and accounting professionals to achieve the desired outcomes on projects. When specialist advice is needed, such as tax, accounting, intellectual property, bankruptcy or litigation advice, Scatena Legal will assist in coordinating with those specialists. We can use the client’s existing service providers or draw from our network of contacts to help the client identify and select the necessary specialists.
